Governance
Strong corporate governance is the foundation on which Ingenia's environmental and social commitments are built.
Our Governance framework enhances the delivery of our sustainability objectives and the identification and management of financial and non-financial risks across the business and in our operating environment.
The Board's People and Culture Committee holds responsibility for reviewing and recommending the Group's ESG strategy and initiatives, including decarbonisation targets, energy strategy, diversity goals, and climate resilience – ensuring that sustainability target-setting is directly connected to the Group's broader business plans.
The Audit, Risk and Sustainability Committee provides oversight of the integrity of climate and sustainability reporting and the Group's Risk Management Framework, including climate-related risks such as physical asset exposure and regulatory change.
At the management level, an internal ESG Committee of executives and senior managers from key departments meets quarterly to coordinate ESG initiatives and ensure alignment with overall strategy. The Committee has representation from across the business emphasising management-level accountability for ESG delivery.
Human Rights
Ingenia is committed to respecting the human rights of all people affected by its business — including employees, residents, guests, contractors and communities. We consider the protection and promotion of human rights to be a fundamental aspect of our sustainability approach.
Policies and Charters
Ingenia maintains a suite of Governance Policies and Board and Committee Charters that reflect its commitment to operating with integrity, transparency and accountability.
Key policies include the Code of Conduct, Whistleblower Policy, Anti-Bribery and Corruption Policy, Privacy Policy and Environmental Policy.
Board and Committee Charters are reviewed periodically to ensure they remain aligned with the ASX Corporate Governance Principles and Recommendations and applicable legal requirements.
Reconciliation at Ingenia
In FY25, Ingenia proudly achieved a significant milestone with the endorsement of our first Reflect Reconciliation Action Plan (RAP) by Reconciliation Australia – reflecting the Group's commitment to meaningful engagement with First Nations communities.
Ingenia recognises that cybersecurity and data privacy are fundamental to maintaining the trust of residents, guests, employees, and investors. The Group maintains a cybersecurity framework designed to protect its systems, data, and operations from evolving threats.
Ingenia's Chief Information and Technology Officer oversees the Group's information security posture, supported by policies covering data governance, incident response and system access controls. The Group conducts regular risk assessments and maintains appropriate controls to manage cybersecurity risks.
We advanced our Cyber Security Roadmap in FY25 with key initiatives including:
- Deployment of advanced threat detection platforms, delivering improved visibility and faster incident response. Vulnerability exposure scores have declined.
- External assurance activities, including penetration testing and ITGC reviews, confirmed a low-risk environment.
- The rollout of a Generative AI policy and evolving phishing simulations to reinforce staff awareness, with click-through rates trending below risk thresholds.
Risk governance has also advanced, with our frameworks aligned to the NIST Cybersecurity Framework, embedding treatments for critical risks such as application control, network access, and third-party exposure.
